Risk Disclosure: Digital assets, including but not limited to cryptocurrencies such as Bitcoin, Tether, and other digital currencies supported by Exchangerland, are inherently volatile and carry substantial risks of financial loss. The value of digital assets can fluctuate significantly, potentially resulting in partial or total loss of your investment.
Trading, holding, or investing in digital assets requires careful consideration of your financial situation and risk tolerance. Exchangerland strongly recommends consulting with qualified financial, legal, or tax advisors before engaging in any digital asset transactions to ensure they align with your financial goals and circumstances.
Exchangerland operates a peer-to-peer marketplace that facilitates the buying and selling of digital assets using over 300 payment methods, providing a flexible and user-driven trading environment. Additionally, Exchangerland offers hosted wallet services for securely storing, sending, and receiving digital assets, which are recorded on their respective blockchain networks. This agreement governs your use of these services and is designed to ensure a transparent, secure, and equitable trading experience for all users.

• Violates this Agreement or applicable laws.
• Contains offensive, defamatory, or misleading information.

Exchangerland operates a leading peer-to-peer marketplace designed to connect buyers and sellers of digital assets, including cryptocurrencies such as Bitcoin, Tether, Ethereum, and other digital currencies supported by the Platform.
The marketplace supports over 300 payment methods, ranging from traditional bank transfers and mobile payments to gift cards and alternative payment systems, providing users with unparalleled flexibility in conducting transactions. Exchangerland also provides hosted wallet services for securely storing, sending, and receiving digital assets, which are recorded on their respective blockchain networks.
The Exchangerland marketplace enables users to create and respond to offers to buy or sell digital assets, specifying terms such as:
• Payment Methods: Options include bank transfers, credit/debit cards, mobile payment apps, gift cards, and other methods agreed upon by the parties.
• Exchange Rates: Rates may be fixed or variable, based on market conditions or user preferences.
• Transaction Conditions: timelines, payment verification requirements, or other stipulations set by the offer creator.
• Additional Terms: Any specific instructions, such as preferred communication methods or documentation requirements.
When a buyer accepts a seller’s offer, the seller’s digital assets are locked in Exchangerland’s secure system until the buyer fulfills the payment terms. The Platform provides a chat feature within each transaction to facilitate communication, allowing parties to clarify terms, exchange payment details, confirm receipt of funds, or resolve issues.
Once the seller verifies the payment, they release the locked assets to the buyer. If the buyer cancels the transaction before payment is completed, the assets are returned to the seller. Sellers cannot cancel transactions, but they can release assets to the buyer upon payment confirmation, ensuring the buyer’s security and trust in the process.
Exchangerland does not act as a payment processor or intermediary in the financial transaction itself. All responsibilities for sending, receiving, and verifying payment lie solely with the buyer and seller. Exchangerland’s role is limited to providing the technological infrastructure for locking and releasing digital assets as per the agreed terms, ensuring a secure and transparent trading environment.
Exchangerland offers hosted wallet services that allow you to store, send, and receive digital assets securely. These wallets are integrated with the Platform and provide real-time visibility of your digital asset holdings. Key features of the wallet services include:
• Secure Storage: Digital assets are recorded on their respective blockchain network, not on Exchangerland’s servers, reducing the risk of centralized storage vulnerabilities.
• Transaction Capabilities: You can send digital assets to other Exchangerland users or external wallet addresses and receive assets from external sources.
• Real-Time Monitoring: The Platform provides tools to track your wallet balance, transaction history, and pending offers.
All transactions involving digital assets occur within the relevant blockchain networks (e.g., Bitcoin blockchain, Ethereum blockchain). Exchangerland does not guarantee the processing or completion of transactions, as these depend on the underlying blockchain networks, which are decentralized and outside Exchangerland’s control. Exchangerland may refuse to process transactions if they:
• Violate this agreement or Exchangerland’s policies.
• Are prohibited by applicable laws or regulations
• Pose a risk to the Platform’s security or integrity, as determined by Exchangerland in its sole discretion.
You are solely responsible for all activities conducted through your account, including:
• Ensuring the accuracy and legality of all transactions, including compliance with offer terms and payment instructions.
• Maintaining the security of your account credentials, such as usernames, passwords, two-factor authentication codes, and API keys.
• Monitoring your wallet and transaction history for accuracy and unauthorized activity.
• Complying with all applicable laws, regulations, and third-party terms (e.g., payment provider policies) related to your use of the Platform.
Exchangerland provides real-time visibility of your digital asset holdings through the Platform’s wallet interface, accessible via the website or mobile application. You acknowledge and accept all risks associated with authorized or unauthorized access to your account, to the maximum extent permitted by law. This includes risks of hacking, phishing, or other security breaches that may result in the loss of digital assets or linked funds.
Digital asset transactions carry significant inherent risks, which you acknowledge and accept by using the Platform. These risks include, but are not limited to:
• Price Volatility: The value of digital assets can fluctuate dramatically within short periods, potentially resulting in substantial financial losses. Market conditions, economic factors, or regulatory changes may exacerbate volatility.
• Blockchain Risks: Network failures, congestion, forks, protocol upgrades, or security vulnerabilities may affect the availability, functionality, or value of digital assets.
• Third-Party Risks: Counterparties may engage in fraudulent behavior, fail to fulfill payment obligations, or initiate chargebacks or disputes, leading to losses.
• Technical Risks: Hardware failures, software bugs, internet connectivity issues, or server outages may disrupt access to your account, wallet, or transactions.
• Regulatory Risks: Changes in laws or regulations may restrict or prohibit your ability to trade, hold, or transfer digital assets, potentially rendering assets inaccessible or worthless.
Exchangerland is not liable for losses, damages, or disruptions caused by these risks, including but not limited to:
• Unauthorized access to your account due to compromised credentials or external attacks.
You are responsible for conducting thorough due diligence on counterparties, offer terms, payment methods, and market conditions before initiating transactions. Exchangerland recommends using secure payment methods, verifying counterparty identities, and consulting professional advisors to mitigate risks.
Exchagerland supports a variety of digital assets, as listed on the Platform. The availability of specific assets may change due to:
• Market conditions, including low liquidity or delisting from major exchanges.
• Regulatory requirements, including bans on specific cryptocurrencies in certain jurisdictions.
• Technical limitations, including network upgrades or compatibility issues.
Exchangerland reserves the right to add or remove supported assets at its discretion, with or without notice. You are responsible for staying informed about the assets supported by the Platform and any changes that may affect your transactions or holdings.
Exchangerland may impose limits on transaction size, frequency, type, or manner to ensure platform security, compliance, and stability. These limits may vary based on:
• Your account verification status • Regulatory requirements in your jurisdiction or Exchangerland’s operating jurisdiction.
• Market conditions, such as high volatility or network congestion.
• Risk management protocols, such as fraud prevention or AML/CTF compliance.
Exchangerland does not guarantee that you will be able to buy or sell digital assets at any specific time, price, or under specific conditions. The availability of transactions depends on market dynamics, user activity, and Exchangerland’s policies.
Exchangerland maintains records of your transactions, including offer details, payment confirmations, and asset transfers, accessible through your account. These records are provided for your convenience, but Exchangerland is not responsible for errors or omissions in transaction records unless caused by our negligence. You should regularly review your transaction history and report any discrepancies to Exchagerland’s support team promptly.

• Payment Verification: The seller is responsible for verifying receipt of payment in accordance with their offer terms. If the seller fails to release assets after you fulfill the terms, you can initiate a dispute through the transaction chat feature.
• Risks: You assume all risks associated with payment methods and counterparties, including but not limited to:
• Fraudulent or invalid payments, such as those using stolen credit cards or accounts.
• Chargebacks or disputes initiated by the payment provider or buyer.
• Delays or failures in payment processing due to third-party issues.
Exchangerland is not responsible for losses due to invalid, fraudulent, or disputed payments. You should verify the legitimacy of the seller and the offer terms before sending payment
When selling digital assets on the Platform:
• Payment Verification: You must verify and process payments within the timeframe specified in your offer. Once payment is confirmed, you must promptly release the locked digital assets to the buyer.
• Fees: Exchangerland charges a fee for locking assets during a sale, which is non-refundable except in cases of trade cancellation, as determined by Exchangerland in its sole discretion.
• Risks: You bear all risks of loss, including but not limited to:
• Premature release of assets before payment is fully verified, resulting in unrecoverable losses.
• Fraudulent payments, such as those using reversible payment methods or stolen accounts.
• Disputes or chargebacks initiated by the buyer or payment provider after assets are released.
• Offer Management: You must deactivate inactive offers and respond promptly to buyers through the transaction chat. Failure to respond or verify payments in a timely manner may result in disputes or account restrictions.
• Prohibited Activities: Advertising external services, websites, or off-platform transactions in your offers or chat messages is strictly prohibited and may result in account suspension or termination
The transaction process on the Platform follows these steps:
• Offer Creation: A user (buyer or seller) creates an offer,
specifying payment methods, exchange rates, and other terms.
• Offer Acceptance: The counterparty accepts the offer,
initiating the transaction and locking the seller’s digital assets in
Exchangerland’s system.
• Communication: The buyer and seller communicate via the
transaction chat to exchange payment details, confirm terms, or resolve
issues.
• Payment: The buyer sends payment to the seller using the
agreed-upon method and confirms payment completion in the Platform.
• Verification: The seller verifies receipt of payment,
ensuring it matches the offer terms and is not fraudulent or reversible.
• Asset Release: Upon verification, the seller releases the
locked assets to the buyer’s wallet.
• Cancellation: If the buyer cancels the transaction before
payment is completed, the assets are returned to the seller. Sellers cannot
cancel transactions but can release assets to the buyer.
Exchangerland does not process payments or act as a financial intermediary. All responsibilities for payment execution, verification, and dispute resolution lie with the buyer and seller.
Exchangerland may impose limits on transaction size, frequency, type, or manner to ensure platform security, compliance, and stability. These limits may be based on:
• Account verification status
• Regulatory requirements in your jurisdiction or
Exchangerland’s operating jurisdiction
• Market conditions, including high volatility, network
congestion, or liquidity constraints
• Risk management protocols, such as fraud prevention,
AML/CTF compliance, or other security measures
Exchangerland does not guarantee that you will be able to buy or sell digital assets at any specific time, price, or under specific conditions. The availability of transactions depends on market dynamics, user activity, and Exchangerland’s policies.
Exchangerland maintains records of your transactions, including offer details,
payment confirmations, asset transfers, and chat communications. These are
accessible through your account for your reference, but Exchangerland is not
responsible for any errors unless caused by its own negligence.
You should:
• Regularly review your transaction history for accuracy
• Retain copies of transaction-related documents like payment
receipts
• Report discrepancies to Exchangerland support promptly
Failure to display a transaction confirmation does not invalidate it.
Exchangerland encourages buyers and sellers to resolve disputes through communication. If needed, disputes can be initiated on the Platform after payment is marked complete by the buyer.
The dispute resolution process follows these steps:
1. Initiation: The disputing party selects the dispute type from the available options and provides a detailed description of the issue, including but not limited to:
• Non-compliance with the offer terms.
• Unresponsive counterparty
• Fraudulent or misleading documentation
• Requests to conduct transactions off-platform
• Payment issues
• Other issues affecting the transaction.
2. Notification: Exchangerland notifies the other party via email and transaction chat, detailing the dispute, its basis, and the evidence required.
3. Response: Both parties must submit evidence within the specific timeframe (typically 48-72 hours). Evidence may include:
• Proof of payment
• Proof of ownership
• Communication records
• Additional documentation
4. Review: Exchangerland’s support team investigates the dispute, evaluating evidence, transaction details, and compliance with offer terms. Decisions are typically made within 7 business days, though complex cases may take longer.
5. Resolution: The locked digital assets are transferred to the buyer or seller based on the evidence and Exchangerland’s findings. Possible outcomes include:
• Buyer Wins: If the buyer proves payment per the offer terms, the seller is unresponsive, or payment was made to a third party not registered to the seller.
• Seller Wins: If the buyer fails to pay, uses a payment method not specified in the offer, initiates a chargeback, or is unresponsive.
• Split Resolution: If evidence is inconclusive or both parties partially comply, Exchangerland may split the assets evenly or unevenly at its discretion.
If you believe a dispute was resolved incorrectly, you may appeal within 10 calendar days via the transaction chat. To appeal, you must:
• Non-compliance with the offer terms.
• Provide a detailed explanation of how the decision violates this Agreement or misinterprets the evidence.
• Submit additional evidence supporting your case, such as new documentation or clarifications.
• Use respectful and professional language, avoiding personal attacks or inappropriate content.
Exchangerland’s support team will review the appeal and issue a final decision, which is conclusive and binding. Exchangerland has no further liability after an appeal decision is made.
Exchangerland’s dispute resolution process is separate from remedies available through payment providers, such as chargebacks, credit card disputes, or payment reversals. Exchangerland is not responsible for:
• Initiating or handling chargebacks or external disputes
• Losses resulting from chargebacks or reversals, even after a dispute is resolved.
• Actions taken by payment providers or third parties outside the Platform.
You acknowledge that using reversible payment methods, such as credit cards or certain mobile payment apps, increases the risk of chargebacks or disputes, which may result in asset or financial losses.
You must remain active, responsive, and cooperative during the dispute process. This includes:
• Responding to requests for evidence or information within the specified timeframe.
• Providing accurate, complete, and truthful documentation or statements.
• Maintaining a civil and respectful tone in all communications with Exchangerland staff and counterparties.
Failure to comply with these requirements may result in a dispute being resolved against you. Providing fraudulent information, forged documents, or deceptive claims may lead to:
• Immediate dispute resolution against you.
• Suspension or termination of your account
• Potential legal action or reporting to regulatory authorities.
To provide clarity, here are additional scenarios that may influence dispute outcomes:
• Buyer Advantage: The buyer provides proof of payment (e.g., a bank transfer confirmation matching the seller’s instructions) and the seller fails to release assets or respond within the required timeframe.
• Seller Advantage: The buyer fails to send payment, uses a payment method not specified in the offer (e.g., an unapproved gift card) or initiates a chargeback after assets are released.
• Neutral Resolution: Both parties provide conflicting evidence, and no clear violation is established, leading Exchangerland to split the assets or take other actions at its discretion.
• Fraudulent Conduct: Either party submits fake documents (e.g., photoshopped receipts) or makes false claims, resulting in an immediate ruling against them and potential account termination.
Exchangerland’s dispute resolution process aims to ensure fairness, transparency, and efficiency, but decisions are based on the evidence provided and Exchangerland’s policies. You acknowledge that Exchangerland’s findings are final, subject to the appeal process
You are solely responsible for understanding and complying with all applicable laws and regulations in your jurisdiction, including but not limited to:
• Laws governing the purchase, sale, transfer, holding, or use of digital assets
• Tax obligations, such as reporting capital gains, income, or value-added taxes on transactions.
• Anti-money laundering (AML) and counter-terrorism financing (CTF) regulations, including know-your-customer (KYC) requirements.
• Consumer protection, financial, securities, or other regulations that may apply to your activities on the Platform.
Exchangerland does not provide legal, tax, financial, or regulatory advice and is not responsible for ensuring your compliance with local laws. You confirm that you have reviewed the relevant laws in your jurisdiction and are aware of your obligations. Failure to comply may result in account restrictions, legal liability, or other consequences.
Exchangerland is not affiliated with, endorsed by, sponsored by, or associated with any third-party payment providers, gift card issuers, or financial institutions. You must verify that your chosen payment methods are:
• Permitted by the provider for use on the Platform.
• Compliant with the provider’s terms and conditions.
• Supported by Exchangerland’s services, as listed on the Platform.
Exchangerland makes no representations or warranties about the compatibility, reliability, or legality of third-party payment methods. You are solely responsible for any issues arising from their use, including but not limited to:
• Fees, restrictions, or limitations imposed by the payment provider.
• Delays, errors, or failures in payment processing.
• Chargebacks, disputes, or reversals initiated by the provider or counterparty.
Gift cards are a common payment method on the Platform, but their use is subject to strict rules to prevent fraud and abuse:
• Ownership: You must be the rightful owner of any gift cards used in transactions. Brokering, reselling, trading, or using gift cards you do not own is strictly prohibited and may result in account suspension or termination.
• Proof of Ownership: Exchangerland may request proof of ownership, such as purchase receipts, transaction confirmations, or gift card activation records, at its discretion. Failure to provide valid proof may result in transaction cancellation or account restrictions.
• Issuer Terms: Gift cards are subject to the terms and conditions of the issuer, including but not limited to:
• Fees, such as activation or inactivity fees.
• Expiration dates or redemption deadlines.
• Restrictions on use, such as geographic or merchant-specific limitations
• Exchangerland’s Role: Exchangerland is not responsible for issuer actions, policies, or limitations, including faulty, invalid, or expired gift cards. You must review and comply with the issuer’s terms before using gift cards on the Platform.
Exchangerland’s Gift Card Store allows users to purchase gift cards directly using their Exchangerland USDT balance or on-chain deposits (e.g., USDT via TRC20, ERC20, or BSC networks). The following terms apply:
• Pricing: Gift card prices are fixed and non-negotiable, as displayed at the time of purchase. Prices may vary based on market conditions, issuer policies, or Exchangerland’s discretion.
• Payment: You have one hour to complete on-chain deposits to the provided crypto address. Payments from your Exchangerland balance incur no additional on-chain fees.
• Fees: On-chain fees apply for external wallet payments and are your responsibility. No fees are deducted for payments from your Exchangerland balance.
• Non-Refundable: All gift card purchases are final and non-refundable, regardless of redemption issues or other factors.
• Receipts: A purchase receipt is emailed to you for each gift card transaction, detailing the card’s value, issuer, and purchase date.
• Redemption Issues: If you encounter issues redeeming a gift card, contact the seller through Exchangerland’s customer support, who will act as a mediator. Exchangerland is not responsible for faulty, invalid, or unredeemable gift cards.
All transactions must occur within the Exchangerland Platform to ensure security, transparency, and compliance. Exchanging external contact details (e.g., phone numbers, email addresses, social media handles, or messaging app IDs) or conducting off-platform trades is strictly prohibited. Violations may result in:
• Immediate cancellation of the transaction
• Suspension or termination of your account.
• Loss of access to disputed assets or funds, as determined by Exchangerland.
Exchangerland monitors transaction activity to detect off-platform attempts and may take action to protect the Platform’s integrity and user safety.
Exchangerland may monitor your transactions and account activity to ensure compliance with this Agreement and applicable laws. This includes:
• Reviewing payment methods and sources for signs of fraud or money laundering.
• Analyzing transaction patterns for unusual or suspicious activity.
• Verifying compliance with offer terms and Platform policies.
You acknowledge that Exchangerland may report suspicious activity to regulatory authorities or law enforcement as required by law, without prior notice to you.
This Agreement and your use of the Platform are governed by the laws of the Republic of Panama, without regard to conflict of law principles. Any disputes arising from this Agreement or your use of the Platform will be resolved through binding arbitration under the rules of the Center of Arbitration and Conciliation of Panama, accessible at cecap.com.pa.
• Individual Basis: Disputes must be resolved on an individual basis, not as part of a class, collective, or representative action. This ensures fair and efficient resolution for all parties.
• Class Action Waiver: You waive your right to participate in class actions, collective actions, or consolidated claims. The arbitrator cannot conduct class arbitration or consolidate multiple claims without Exchangerland’s consent.
• Small-Claims Option: Consumer claimants (individuals using the Platform for personal, family, or household purposes) may pursue claims in small-claims court in their jurisdiction if eligible, provided the matter remains individual and does not involve class or representative claims.
• Costs and Fees: Exchangerland will reimburse filing fees or administrative costs that exceed what you would pay in court, upon request, as required by arbitration rules or applicable law. Each party is responsible for other costs, such as attorney fees, unless otherwise required by law or the arbitrator’s decision.
• Arbitration Process: The arbitration will be conducted in accordance with the Center of Arbitration and Conciliation of Panama’s rules, which provide a structured and impartial process for resolving disputes. The arbitrator’s decision is final and binding, subject to limited grounds for appeal under Panamanian law.
If any provision of this Agreement is deemed invalid or unenforceable by an arbitrator or a Panamanian court, the remaining provisions remain enforceable and unaffected. Headings in this Agreement are for convenience only and are not enforceable provisions.
The choice of Panamanian law provides a consistent legal framework for all users, regardless of their location, subject to mandatory local consumer protection laws that may apply. You acknowledge that arbitration is the primary method for resolving disputes, except where small-claims court is permitted, and you waive any right to a jury trial or participation in class actions.
If any part of this Agreement is found to be invalid or unenforceable, the remaining parts will continue to be valid and enforceable. This ensures that the Agreement remains effective even if specific provisions are challenged or struck down.
You agree to use Exchangerland’s services in strict compliance with this Agreement, the Privacy Policy, and all applicable laws and regulations. Prohibited activities include, but are not limited to:
• Disruption of Services: Interfering with, disrupting, or impairing the Platform or other users’ access, such as through denial-of-service attacks, overloading servers, or exploiting vulnerabilities.
• Illegal Activities: Engaging in or facilitating illegal activities, including violations of AML/CTF laws, sanctions programs, securities regulations, or other laws in the jurisdictions where Exchangerland operates or you reside.
• Harassment or Abuse: Harassing, defaming, threatening, stalking, or otherwise violating the legal rights of other users, including their rights to privacy, publicity, or intellectual property.
• Malicious Content: Introducing viruses, malware, Trojan horses, worms, logic bombs, or other harmful code to the Platform that could damage, disable, or compromise its functionality or security.
• Unauthorized Access: Using automated tools (e.g., bots, crawlers, scrapers, or spiders) to access or extract data, circumvent content filtering techniques, or access unauthorized areas of the Platform.
• Fraudulent Behavior: Engaging in fraudulent, deceptive, or misleading activities, such as providing false information, forged documents, or fake payment confirmations.
• Off-Platform Transactions: Advertising, promoting, or facilitating transactions outside the Exchangerland Platform, including sharing external contact details or redirecting users to other services.
• Intellectual Property Violations: Using Exchangerland’s trademarks, logos, or other intellectual property without prior written consent, or infringing on the intellectual property rights of other users or third parties.
• Harmful Content: Posting, publishing, or distributing content that incites hate, violence, racial intolerance, or illegal activities, or that is defamatory, obscene, or otherwise objectionable.
• Unauthorized Applications: Developing or using third-party applications that interact with the Platform without Exchangerland’s prior written consent.
• False Endorsements: Implying an untrue endorsement, affiliation, or sponsorship by Exchangerland through your actions or content.
Violations of these prohibitions may result in immediate account suspension or termination, as well as potential legal action or reporting to regulatory authorities at Exchangerland’s sole discretion.
If Exchangerland determines that you have engaged in prohibited activities, we may:
• Suspend or restrict your access to the Platform or specific services.
• Terminate your account and block your ability to register new accounts.
• Cancel or reverse transactions associated with the violation.
• Report your activities to regulatory authorities or law enforcement as required by law.
• Pursue legal remedies, including damages or injunctive relief, to protect Exchangerland’s interest.
You acknowledge that ExchangerLand’s decisions regarding prohibited uses are final and may be based on confidential criteria related to risk management and security protocols.
Creating an Exchangerland wallet is free of charge. However, Exchangerland charges fees for certain services, including but not limited to:
• Locking digital assets during a sale in the marketplace.
• Processing specific transactions, such as gift card purchases in the Gift Card Store.
• Other services as specified on the Platform.
Applicable fees are displayed before you use a service and are subject to change at Exchangerland’s sole discretion. Fees may vary based on:
• Transaction type (e.g., buying, selling, or gift card purchases).
• Payment methods (e.g., on-chain fees for external wallet payments).
• Market conditions, such as volatility or network congestion.
• Account status, such as verification level or transaction history.
For detailed fee information, refer to the “Exchangerland Fees” section on our website. Transactions involving miner fees (e.g., blockchain transaction fees) or service charges are non-refundable once confirmed by you. You acknowledge that Exchangerland may adjust fees at any time without prior notice, and continued use of the Platform constitutes acceptance of the updated fees.
If you use a service to which a fee applies or initiate a transaction with a miner fee, you are not eligible for a refund or reimbursement once you confirm the transaction or service. This applies even if the transaction is canceled, disputed, or fails to complete due to counterparty actions or other factors.
Exchangerland reserves the right to modify, suspend, or discontinue any portion of its service, temporarily or permanently, at any time, with or without notice, at its sole discretion. This includes changes to:
• Platform features, including wallet functionality or marketplace options.
• Supported digital assets or payment methods.
• Service availability in specific jurisdictions or for specific users.
Exchangerland may also:
• Suspend, restrict, or terminate your access to the Platform or specific services.
• Limit access to your wallet or digital assets.
• Deactivate or cancel your account entirely.
Reasons for such actions include, but are not limited to:
• Compliance with applicable laws, regulations, subpoenas, court orders, or other legal processes.
• Suspected or actual violations of the Agreement or Exchangerland’s policies.
• Involvement in pending litigation, investigations, or regulatory proceedings that pose a risk to Exchangerland or its users.
• Inability of service partners, such as payment processors or blockchain networks, to support your use.
• Attempts to circumvent Exchangerland’s controls, security measures, or policies, such as using VPNs to access the Platform from restricted jurisdictions.
• Protection of Exchangerland, its users, employees, or systems from harm, fraud, or loss, including financial, reputational, or operational risks.
Exchangerland will attempt to notify you of such actions via email or the Platform’s notification system, unless prohibited by law, legal process, or security concerns. Decisions to suspend or terminate accounts may be based on confidential criteria related to risk management, fraud prevention, or security protocols, which Exchangerland is not obligated to disclose.
If your account is inactive for a period prescribed by applicable law (e.g., 3-5 years, depending on the jurisdiction), Exchangerland may be required to report unclaimed digital assets as abandoned property under escheat or unclaimed property laws. If this occurs:
• Exchangerland will attempt to notify you in writing using the contact information in your account, typically via email or postal mail.
• If you fail to respond within seven business days (or as required by law), Exchangerland may transfer the assets to the relevant jurisdiction as unclaimed property.
• Exchangerland may deduct dormancy fees or administrative charges from unclaimed assets, as permitted by law.
You are responsible for maintaining activity in your account or withdrawing your assets to avoid escheatment. Exchangerland is not liable for losses resulting from the transfer of unclaimed assets or the deduction of fees.
Exchangerland is not liable for delays, performance failures, or service interruptions caused by events beyond our reasonable control, known as force majeure events. These include, but are not limited to, natural disasters, man-made events, labor disputes, technical failures, equipment or software issues, market disruption, or other catastrophes.
These force majeure events do not affect the enforceability of other provisions in this Agreement. Exchangerland will make reasonable efforts to restore services as soon as practicable after such events, but we are not liable for any losses or damages resulting from delays or interruptions caused by force majeure.
Exchangerland reserves the right to amend, modify, update, or revise this Agreement at any time, in its sole discretion, with or without prior notice. Changes are effective upon posting on the Platform, and Exchangerland may also notify you via email if you have provided an email address. Your continued use of the Platform after changes are posted constitutes acceptance of the updated terms.
If you disagree with the revised terms, your sole and exclusive remedy is to stop using the Platform and its services, close your account by following the procedures outlined in the Platform’s account settings, or by contacting support. It is your responsibility to periodically review this Agreement for updates.
Exchangerland’s failure to enforce any provision of this Agreement does not constitute a waiver of its rights to enforce that provision or any other provision in the future. This Agreement represents the entire understanding between you and Exchangerland regarding the subject matter (i.e., your use of the Platform and services) and supersedes all prior agreements, understandings, or representations, whether written or oral.
You may not assign, transfer, or delegate your rights or obligations under this Agreement to any other person or entity without Exchangerland’s prior written consent. Any attempted assignment without consent is void. Exchangerland may assign its rights or obligations under this Agreement to affiliates, subsidiaries, or third parties without your consent, provided such assignment does not diminish your rights under this Agreement.
